Terms of Service

By creating an account, accessing, or using the HVAC Flow platform ("Platform", "Service"), you ("Customer", "you") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

If you do not agree to these Terms, do not create an account or use the Service. These Terms form a legally binding agreement between you and Teqnodux, the company that operates HVAC Flow.

HVAC Flow is a cloud-based Enterprise Resource Planning (ERP) platform purpose-built for HVAC contractors and MEP businesses. The Service includes, but is not limited to, the following modules:

Lead Management & CRM (accounts, contacts, pipeline, call logs)
Estimation (Bill of Quantities, room-wise load calculations, RFQ management)
Procurement (Purchase Orders, Goods Received Notes, Goods Issue Notes)
Inventory & Delivery (stock tracking, Delivery Challans)
Finance (GST-compliant invoicing, receipt tracking)
Service Management (Preventive Maintenance Schedules, Annual Maintenance Contracts, service visit logs)
Settings & Administration (user roles, custom fields, PDF templates, tenant configuration)

Teqnodux reserves the right to add, modify, or discontinue features at any time. We will provide reasonable notice for material changes that affect existing workflows.

3.1 Eligibility
You must be at least 18 years old and legally authorised to enter into contracts under Indian law to use the Service.

3.2 Account Accuracy
You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the accuracy of this information.

3.3 Tenant Workspace
Upon registration, Teqnodux provisions a dedicated tenant workspace (isolated database schema) for your organisation. You are the account owner ("Tenant Admin") and are solely responsible for all activity that occurs under your workspace, including actions taken by users you invite.

3.4 Credentials
You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at info@teqnodux.com if you become aware of any unauthorised access to your account.

3.5 One Workspace Per Business
Each business entity is permitted one active tenant workspace per subscription plan. Creating multiple workspaces to circumvent plan limits is a violation of these Terms.

You agree to use the Service only for lawful business purposes related to your HVAC or MEP operations. You must not:

Upload, transmit, or store any data that is unlawful, defamatory, fraudulent, or infringes third-party intellectual property rights.
Attempt to gain unauthorised access to another tenant's data, the Platform's infrastructure, or Teqnodux's systems.
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform.
Use the Service to build a competing product or resell access to third parties without prior written consent.
Introduce malware, viruses, or any code designed to damage or interfere with the Platform.
Exceed the usage limits of your subscription plan (users, storage, API calls) in a manner that degrades service for other tenants.
Use automated scripts, bots, or crawlers to scrape, extract, or manipulate Platform data without authorisation.

Violation of this section may result in immediate suspension or termination of your account without refund.

5.1 Plans
HVAC Flow is offered on paid subscription plans (Starter, Professional, Enterprise) as described on the Pricing page. All prices are in Indian Rupees (INR) and are exclusive of GST at 18%.

5.2 Billing
Subscriptions are billed upfront for the full commitment period (6 months, 1 year, or 2 years) as selected at the time of purchase. We do not offer monthly billing.

5.3 Free Trial
New tenants receive a 30-day free trial with full Platform access. No credit card is required to start a trial. At the end of the trial, you must subscribe to a paid plan to retain access to your data.

5.4 Payment
Payment is due before the subscription period begins. Accepted payment methods are communicated at checkout. Failure to complete payment will result in account suspension after a 7-day grace period.

5.5 Renewal
Subscriptions do not auto-renew. You will receive renewal reminders 30 days and 7 days before your subscription expires. It is your responsibility to renew before expiry to avoid service interruption.

5.6 Taxes
You are responsible for all applicable taxes beyond the GST we collect. If you are a GST-registered business, provide your GSTIN at checkout to receive a valid tax invoice.

6.1 No Refunds After Activation
Because HVAC Flow provisions a dedicated tenant workspace and provides immediate access to all features upon payment, subscriptions are non-refundable once the paid period has commenced.

6.2 Exceptions
Refunds may be considered at Teqnodux's sole discretion in the following circumstances:
Duplicate payment due to a technical error.
Service is unavailable for more than 72 consecutive hours due to an outage on our end (pro-rated credit or refund for the affected period).

6.3 Trial Period
The 30-day free trial is provided specifically so you can evaluate the Platform before committing. We strongly encourage you to use the trial fully before subscribing.

To request a refund under an eligible exception, email info@teqnodux.com within 15 days of the qualifying event.

7.1 Your Data is Yours
All business data you enter into the Platform — leads, BOQs, purchase orders, invoices, service records, and any other operational records — remains your property at all times. Teqnodux claims no ownership over your business data.

7.2 Licence to Process
By using the Service, you grant Teqnodux a limited, non-exclusive licence to store, process, and display your data solely for the purpose of providing the Service to you. This licence terminates when your account is deleted.

7.3 Data Export
You may export your data at any time from Platform settings in CSV or PDF format. We also provide bulk exports on request — contact support with your requirements.

7.4 Data After Termination
As described in our Privacy Policy, your data is retained for 90 days after subscription expiry to allow reactivation or export, then permanently deleted.

8.1 Platform Ownership
The HVAC Flow platform, including its software, design, UI, algorithms, workflows, documentation, and branding, is owned exclusively by Teqnodux and is protected by intellectual property laws applicable in India and internationally.

8.2 Licence to Use
Subject to these Terms and payment of applicable fees, Teqnodux grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business purposes during your subscription period.

8.3 Feedback
If you submit feedback, suggestions, or feature requests to Teqnodux, you grant us an unrestricted licence to use such feedback for any purpose, including incorporating it into the Platform, without compensation to you.

Teqnodux targets 99% platform availability measured monthly, excluding scheduled maintenance windows.

Scheduled maintenance will be communicated at least 24 hours in advance via email and, where possible, performed during off-peak hours (11 PM – 5 AM IST).

Unscheduled outages will be communicated via our status page and email as soon as they are identified. We aim to restore service within 4 hours for critical outages.

We do not guarantee specific uptime SLAs beyond reasonable commercial efforts for plans below Enterprise. Enterprise customers may negotiate dedicated SLA terms.

To the maximum extent permitted by applicable law:

The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
Teqnodux shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business, arising from your use of or inability to use the Service.
Teqnodux's total cumulative liability to you for any claims under these Terms shall not exceed the amount you paid for the Service in the three months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability for fraud, wilful misconduct, or any liability that cannot be excluded under Indian law.

11.1 By You
You may cancel your account at any time by contacting info@teqnodux.com. Cancellation takes effect at the end of the current subscription period. No refunds are issued for unused time within a paid period.

11.2 By Teqnodux
We may suspend or terminate your account immediately and without notice if you:
Violate the Acceptable Use policy (Section 4)
Fail to pay for a subscription renewal after the grace period
Engage in conduct that threatens the security or integrity of the Platform or other tenants

11.3 Effect of Termination
Upon termination, your access to the Platform is revoked. Your data is retained for 90 days as per our Privacy Policy and then permanently deleted. You remain responsible for any outstanding payments due.

These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Gujarat, India.

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes in good faith through direct negotiation. Contact us at info@teqnodux.com and we will respond within 10 business days.

Teqnodux may update these Terms from time to time. When we do:

The "Last updated" date at the top of this page will be revised.
For material changes, active subscribers will be notified via email at least 14 days before the changes take effect.
Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
